Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the Evenbatch website and application (the "Service"), operated by Evenbatch ("Evenbatch", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
2. The Service
Evenbatch is web-based inventory management software for small manufacturers. It provides inventory tracking, bills of materials (BOM) and production runs, lot tracking with FEFO and expiry alerts, recall tracing, reporting, and synchronization with QuickBooks Online. We may improve or modify features of the Service over time.
3. Accounts and organizations
- You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account.
- An organization owner may invite additional users. All users of an organization are covered by that organization's subscription at no additional per-user charge.
- You must be at least 18 years old and legally able to enter into contracts to use the Service.
4. Subscription, billing, and renewal
- The Service is offered as a single subscription plan at $49.99 per month (USD), which includes all features and unlimited users.
- New accounts start with a 14-day free trial. No payment method is required to start the trial.
- Paid subscriptions renew automatically each month until cancelled. Your payment method is charged at the start of each billing period.
- Payments are processed by our merchant of record, Paddle. Paddle's checkout terms apply to the payment transaction itself.
- Applicable taxes (such as VAT or sales tax) may be added at checkout depending on your location.
- Refunds are handled according to our Refund Policy.
5. Cancellation
You can cancel your subscription at any time from within the Service, with one click and no cancellation fee. Cancellation takes effect at the end of the current billing period; you keep access until then. After cancellation you may export your data at any time before account deletion, free of charge.
6. Your data and ownership
- You own your data. All inventory records, BOMs, lots, transactions, and other content you enter into the Service remain yours.
- You can export all of your data as CSV at any time, free of charge, whether or not your subscription is active.
- You grant us a limited license to host and process your data solely to provide and support the Service.
- We handle personal data as described in our Privacy Policy.
7. QuickBooks Online integration
- The QuickBooks Online integration uses Intuit's official API and OAuth 2.0 authorization. Evenbatch never receives or stores your QuickBooks password.
- Changes are pushed to QuickBooks Online only after you approve them in the Service. You can disconnect the integration at any time.
- QuickBooks is a product of Intuit Inc. Evenbatch is not affiliated with, endorsed by, or sponsored by Intuit. Your use of QuickBooks Online is governed by your agreement with Intuit.
8. Acceptable use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service; (d) resell or sublicense the Service without our written consent; (e) upload malicious code; or (f) use the Service to infringe the rights of others.
9. Intellectual property
The Service, including its software, design, and branding, is owned by Evenbatch and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or software other than the right to use the Service as intended.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Evenbatch is not an accounting, tax, or legal advisor; you remain responsible for the accuracy of your books and regulatory compliance, including recall and food-safety obligations.
11. Limitation of liability
To the maximum extent permitted by law, Evenbatch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim.
12. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach within a reasonable period after notice. Upon termination, you may request an export of your data for a period of 30 days, after which we may delete it.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or through the Service before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. Any dispute that cannot be resolved informally will be submitted to the courts of competent jurisdiction there, unless mandatory consumer-protection law in your place of residence provides otherwise.
